01

Scope and roles.

Launch transactions are US-only, with delivery to a verified US facility and an identified end user and intended use. RackUnion facilitates auctions and coordinates transactions. It does not own inventory, hold customer funds, provide loans, issue insurance, carry freight or warrant equipment.

02

Qualification and binding bids.

Only approved bidders may bid. Identity, funding, site readiness, screening, marketplace terms and bid security must be complete. Bid security is 2% of the maximum bid, with a $5,000 minimum and $50,000 maximum. Financing clearance does not replace it.

03

Auction and reserve.

The standard process uses five business days of sealed bids and one best-and-final round. The highest qualified bid wins by default. A lower bid requires materially stronger closing certainty or greater inventory coverage and a recorded reason. A reserve-meeting qualified bid binds the seller. When reserve is not met, a 48-hour private negotiation window begins.

04

Seller fee and introduced parties.

The seller success fee is 4% of the first $250,000, 3% from $250,000 to $1,000,000, 2% from $1,000,000 to $5,000,000 and 1% above $5,000,000. The minimum success fee is $7,500. There is no buyer premium. No success fee is charged when no transaction closes, subject to default and anti-circumvention obligations.

RackUnion has 12-month fee protection for parties it introduces. Protection applies to introduced parties, not the entire market. Custom enterprise pricing is agreed before certification and listing.

05

Certification and seller obligations.

The first signed Voltry read begins the 45-day listing and exclusivity period and included 100-day monitoring period. Withdrawal or circumvention during exclusivity requires certification reimbursement. Sellers remain responsible for clear title, correct serials and configuration, accurate disclosures and no concealed material event.

06

Settlement, delivery and exceptions.

The winning buyer must fund independent escrow within two business days. Full funding precedes pickup. Cargo insurance must cover at least the transaction value. The buyer contracts directly with a carrier. Transit risk transfers at serialized pickup; title transfers under the purchase agreement after cleared settlement.

  • Delivery verification lasts two business days. Early acceptance is allowed.
  • Eligible exceptions include missing units, incorrect serials, wrong model or configuration, visible shipping damage, substitution and material misrepresentation.
  • Only disputed amounts are held for eligible claims. Undisputed funds release immediately.
  • RackUnion administers records. Voltry verifies technical facts. Escrow controls funds. A neutral third party handles unresolved disputes.
07

Default and material changes.

A seller who refuses a reserve-meeting qualified bid may owe certification reimbursement, the success fee based on the highest qualifying bid and documented transaction costs. A winning buyer who fails to fund without an approved seller-side reason may default; bid security is applied under signed default terms.

Material changes to inventory or listing representations pause the auction, cancel existing bids and return bid security. Corrected inventory must be disclosed and re-certified when necessary.

08

Condition and market-record boundaries.

Equipment is sold as-is and where-is. Certification is a dated condition record, not a warranty. Buyers assume ordinary condition change after the certification read. RackUnion does not guarantee performance, useful life, rental income, resale value or future earnings. Completed sales publish a mandatory anonymized market record after settlement.

09

Provider compensation and privacy.

RackUnion may receive compensation from financing, insurance, certification, or other service providers when customers choose their services. Provider decisions and terms are independent. Customers are not required to use a referred provider. Each introduction requires separate consent. See Partner Disclosures and Privacy.
